EXETER STUDIO, Inc. EXETER STUDIO is a non-profit corporation organized in the State of Texas for the purpose of creating science fiction, fantasy, and mystery stories for development as amateur film, video, and audio presentations. Educating and sharing basic production and special effects techniques is part of the EXETER STUDIO mission. Articles of Incorporation
The corporation formed is a non-profit corporation. The name of the corporation is EXETER STUDIO. The period of duration is perpetual. ARTICLE TWO The street address of the initial registered office is 4013 Alexandria Drive, Austin, Texas 78749. The initial registered agent is a Citizen of Texas, residing in Travis County. The name of the initial registered agent is James P. Johnson. ARTICLE THREE Management of the affairs of the corporation is to be vested in its board of directors. The number of directors constituting the initial board of directors is three. The names and addresses of the persons who are to serve as directors are as follows:
Joshua C. Johnson, [street address omitted], Lester Prairie, Minnesota Joel W. Sarchet, [street address omitted], Austin, Texas ARTICLE FOUR The corporation will not have members. ARTICLE FIVE The corporation is organized and operated exclusively for literary and educational purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code. Specifically, the corporation will facilitate the creation of science fiction, fantasy, and mystery stories, scripts, and screenplays for development as amateur film, video, and audio presentations. These works will be distributed free to the public via the internet. Material copies may also be distributed free, or as gifts to donors and contributors. The corporation will conduct or participate in public discussion groups, forums, panels, and lectures within the scope of its purpose. ARTICLE SIX Upon dissolution of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the state or local government for a public purpose. Any such assets not so disposed of shall be disposed of by a Court of Competent Jurisdiction in the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organizations as said Court shall determine, which are organized and operated exclusively for such purposes.
